1. A “DianDian VIP Member” refers to a natural person who has completed all procedures required to obtain DianDian VIP membership and, subject to compliance with this Agreement, is entitled to enjoy DianDian VIP membership services during the valid membership period. Under this Agreement, DianDian VIP Members are also referred to as “you” or “Member.” 2. “DianDian VIP Membership Services” refer to exclusive membership benefits provided by DianDian. For details of membership benefits, please refer to Article 3 of this Agreement. The specific content of such benefits shall be subject to the descriptions provided on the DianDian VIP Privileges page (link:http://app.diandian.com/vip/authority/). 3. DianDian VIP Membership Service Agreement: This supplemental agreement has the same legal effect as the:DianDian User Service AgreementDianDian Privacy PolicyIn the event of any conflict between this Agreement and the aforementioned agreements, this Agreement shall prevail. “DianDian VIP Membership Service Rules” refer to any agreements, VIP membership codes of conduct, event rules, usage rules, announcements, reminders, notices, online FAQs, or other content related to VIP membership services that have been or may be issued by DianDian from time to time on the DianDian platform. DianDian may publish such content through system notifications, information push messages, platform announcements, or similar methods. Once officially published, such content shall become effective immediately and shall form an integral part of this Agreement.

1. You can become a DianDian VIP member by paying a membership service fee or through marketing activities and other DianDian-approved methods. Once you have completed all the procedures to become a DianDian member, you can enjoy DianDian VIP member services by logging into your DianDian VIP member account. 2. You can log in to the DianDian VIP Member Center to check your account information details for free, including the services you have activated and the service period. You can check your spending amount and transaction status information in "My" - "My Orders". 3. Please note the following: 3.1 If you encounter paid services on DianDian other than the DianDian VIP Membership Service and wish to learn more about such services, please carefully review the applicable rules or service agreements on the relevant service page and pay attention to the identity of the service provider. 3.2 If you choose to subscribe to a joint membership service or receive a third-party membership service as a bonus when purchasing a DianDian VIP membership service, DianDian will only provide the DianDian VIP membership service.We are not responsible for third-party membership services. The rights, use, and pricing rules of third-party membership services are the responsibility of the third party. 3.3 DianDian VIP membership service can be used on mobile phones, tablets, and computers.

1. Account Management 1.1 You are responsible for properly using, safeguarding, and maintaining your DianDian VIP Membership account credentials, including your username and password. If your account credentials are disclosed, lost, stolen, or misused due to reasons not attributable to DianDian’s statutory fault, you shall bear any resulting losses. 1.2 If you discover that your account has been used without authorization or that your account is otherwise unable to function properly, you must follow the official account recovery procedures published by DianDian. During the recovery process, DianDian may require you to provide relevant information and/or supporting documentation. Please ensure that the information you provide is true and valid; otherwise, it may fail the verification process and result in data retrieval failure. 1.3 To protect your account security and prevent unauthorized access or theft, DianDian may, from time to time, conduct security checks or verification procedures relating to your account usage. Such measures may include, but are not limited to, contacting you for identity verification, SMS verification, or email authentication.If you fail to complete the required verification or refuse to cooperate without reasonable justification, DianDian may reasonably suspect that your account is abnormal or compromised and may suspend services to the account or take further protective measures as necessary. 2. Account Use 2.1 Lawful Acquisition and Use (1) DianDian VIP Membership Services are provided solely for use within the DianDian platform. Any act of separating DianDian services from the DianDian platform through unauthorized means, including but not limited to hacking, reverse engineering, decompiling, or transcription, does not constitute permitted VIP Membership Services under this Agreement. DianDian reserves the right to pursue legal liability and claim damages against any infringing party. (2) Any DianDian VIP Membership Services obtained through theft, exploitation of system vulnerabilities (including but not limited to bots, spider software, crawler software, automated scripts, or similar tools), or through any non-official or unauthorized channels (including but not limited to purchase, rental, borrowing, sharing, assignment, or similar means), as well as any membership services obtained through malicious exploitation or disruption of VIP membership activities, shall not be protected under this Agreement. DianDian reserves the right to cancel and/or refuse to provide VIP Membership Services in such cases. Any resulting losses or liabilities shall be borne by the infringing party. (3) Except for authorized agents designated by DianDian or officially approved bundled membership collaborations with third-party platforms, DianDian has not authorized any third party to sell or transfer DianDian VIP Membership qualifications. Any sale or transfer of DianDian VIP Membership without DianDian’s express authorization constitutes unauthorized and unlawful conduct. DianDian reserves the right to pursue legal action against such parties. (4) When activating or using DianDian VIP Membership Services and/or participating in related activities, you must do so through officially published or authorized channels. Any VIP Membership Services (including but not limited to accounts or membership benefits) or promotional rewards (including but not limited to physical or virtual gifts and membership privileges) obtained through unauthorized channels or unlawful means shall not be protected under this Agreement.Upon discovery of such conduct, DianDian reserves the right to immediately delete, cancel, revoke, reset, suspend, or terminate the relevant services or account privileges. Any resulting losses or liabilities shall be borne by the infringing party. (5) When participating in membership activities, you must comply with the applicable activity rules and act in a lawful manner that does not harm the interests of the organizer. If you exploit system vulnerabilities, rule design defects, technical errors, or abuse your membership status to obtain benefits, such conduct shall not be protected under this Agreement. DianDian reserves the right to take appropriate corrective measures. Any resulting losses or liabilities shall be borne by the infringing party. (6) DianDian VIP Membership Services constitute a personal, non-transferable, non-commercial, revocable, limited-term, and non-exclusive license granted to you, subject to your compliance with this Agreement and applicable laws, regulations, and public policy.You may use the VIP Membership Services solely for personal, non-commercial purposes and for personal viewing only. (7) You acknowledge and agree that you may not provide your VIP Membership account to any third party for use in any manner, including but not limited to transfer, rental, lending, sharing, or sale. You may not permit others to use your account for activities including but not limited to live streaming, recording, viewing, uploading, or participation in events. Any legal consequences or liabilities arising therefrom shall be borne by you. DianDian reserves the right to suspend or terminate services to your account. 2.2 Ownership of Rights You acknowledge and agree that you have the right to use the DianDian VIP Membership Services and virtual community products lawfully obtained under your account. All ownership rights, intellectual property rights, and derivative rights relating to such services and products remain exclusively vested in DianDian, except for physical products lawfully obtained through legitimate channels or where otherwise expressly announced by DianDian. 2.3 Login Restrictions You acknowledge and agree that the scope of usage permitted for a DianDian membership account shall be subject to the applicable membership tier and usage limitations described at the following link: http://app.DianDian.com/vip/authority/ If you exceed the permitted scope of VIP Membership benefits as described above, DianDian may suspend or terminate services accordingly. DianDian further reserves the right to take additional measures, including but not limited to seeking compensation for damages. 2.4 Logout If you need to log out, you can click "Log out" in "My Settings".

In addition to cancelling your account in accordance with laws, regulations, and this agreement, you can also cancel your account by applying online, contacting DianDian customer service, or through other publicly announced methods. Once your account is canceled, you will no longer be able to use DianDian VIP membership services. All content, information, data, and records you have used through this account under DianDian or/and its affiliated companies' products and services will be deleted or anonymized; unless otherwise stipulated by laws and regulations, you will no longer be able to retrieve, access, obtain, continue to use, or recover them, nor will you have the right to request DianDian to recover them. Please see the following for details regarding the account cancellation process, prerequisites for cancellation, consequences of cancellation, and precautions.

1. DianDian VIP Membership Benefits refer to the content, welfare benefits, and value-added services provided by DianDian to VIP members. The specific details are subject to the description on the DianDian VIP Privileges page or the actual services provided. If the names of the membership benefits under this agreement are inconsistent with the description on the page, it will not affect the content of the membership benefits you actually enjoy. 2. DianDian VIP members are divided into different levels, and the membership benefits between different levels may also differ. The specific membership benefits you can enjoy under the VIP membership service are subject to the description on DianDian's page or the actual services provided by DianDian. 3. DianDian may make some adjustments based on changes in laws, regulations, and policies, as well as its own operational strategies. 4. After you activate this service through the designated channels, the specific services you can actually use may vary due to differences in the software version, device, operating system, and other third-party factors you use.

1. The service period of DianDian VIP membership is based on the period selected by the member and the corresponding membership fee paid. You can also check the specific period by logging into the DianDian Recharge Center or the corresponding page of this service. 2. Please understand that due to the special nature of internet services, in order to provide you with high-quality services, DianDian needs to perform server maintenance, adjustments, and upgrades from time to time. In the event of force majeure events such as hacker attacks, computer virus intrusions, or policy notices from regulatory agencies, DianDian must resolve the faults and handle related infringement matters. DianDian will try its best to minimize the impact of such situations on you.

1. This service is a paid service provided by DianDian. You must pay the corresponding fee according to the service's pricing standards before you can use this service. Alternatively, you can also enjoy and use this service through other methods approved by DianDian. 2. You can pay for your VIP membership through any of the payment methods supported by DianDian, such as bank card payment and third-party payment. (If criminals use your account or bank card for illegal activities, this risk may cause you corresponding financial losses, and you shall bear all such losses yourself.) 3. DianDian may adjust the service pricing (including but not limited to automatic renewal, additional fees, etc.) and payment methods based on the overall planning of this service and changes in costs (adjustments include changes, cancellations, reductions, and additions of relevant content), and will notify you in advance on the relevant service page or in a reasonable manner. If the price of the relevant service has been adjusted when you purchase or renew, the currently effective price published by DianDian shall prevail (unless otherwise agreed by DianDian and you). 4. VIP membership services are online and virtual goods. The membership fee is the price of the online goods corresponding to the membership service you purchase, and is not a prepayment, deposit, down payment, or savings card. VIP membership services are non-refundable once activated. Exceptions include situations where the VIP membership service has significant defects that render it completely unusable, which constitutes a breach of contract by DianDian; other provisions in this agreement; legal and regulatory requirements mandating a refund; or DianDian agreeing to a refund. DianDian would like to remind you that you should carefully check your account information, the services you are purchasing, the price, and the service period before purchasing VIP membership services. 5. Special Notes Regarding Additional Fees: 5.1 You understand and agree that after you successfully activate the DianDian VIP membership service, you will be able to enjoy the membership benefits described in Section (I) Item 1 of this Article. 5.2 For content that requires additional payment, DianDian will clearly mark it and provide you with prompts and explanations on the relevant pages. Please read carefully before purchasing and decide whether to purchase it yourself. In addition, some services will have different prices depending on the type of package you purchase. Please confirm the corresponding price of the content you need before purchasing. 5.3 Some additional paid content (such as single-item payments, knowledge-based paid content, etc.) will have corresponding validity period restrictions. The validity period starts from the date of your successful payment. The specific validity period will be clearly marked on the relevant page, and you can view the remaining validity period after successful payment. By successfully paying, you agree to this validity period restriction, and we recommend that you use it in a timely manner. You also understand and agree that after a certain period, DianDian has the right to provide some functions to other users for free.

1. When using DianDian VIP membership services, you must abide by the Constitution and laws, including but not limited to the ,the , the , the , and the , and other laws and regulations concerning computers and the Internet; you must observe public order and respect social morality; you must not endanger network security; you must not use the network to engage in activities that endanger national security, honor, or interests; incite subversion of state power or the overthrow of the socialist system; incite secession or undermine national unity; promote terrorism or extremism; promote ethnic hatred or discrimination; disseminate violent or obscene information; fabricate or disseminate false information to disrupt economic and social order; or infringe upon the reputation, privacy, intellectual property rights, or other legitimate rights and interests of others. Under any circumstances, if DianDian reasonably believes that a user has engaged in any of the above-mentioned behaviors, it may, at any time, terminate the service to that user without prior notice, for the purpose of maintaining network security and public order.

1. DianDian attaches great importance to the protection of your personal information. When you use the services provided by DianDian, you agree that DianDian may collect, store, use, disclose, and protect your personal information in accordance with the privacy policy published on DianDian. DianDian hopes to clearly explain to you how it processes your personal information through the privacy policy. Therefore, DianDian recommends that you read the privacy policy in its entirety to help you better protect your privacy. For more information on personal information processing and protection rules, users' control over their personal information, etc., please refer to the . 2. DianDian places great importance on the protection of minors. If a user is under the age of 18, they are considered a minor and should read this agreement and use this VIP membership service under the supervision and guidance of their guardian. 3. Guardians should guide their children on internet safety issues to prevent potential problems. If a guardian agrees to a minor's use of this VIP membership service provided by DianDian, the application must be made in the guardian's name, and the guardian must properly guide and supervise the minor's use of this membership service. The minor's exercise and fulfillment of the rights and obligations under this agreement shall be deemed as having obtained the guardian's approval.

All notifications for DianDian VIP members can be delivered via DianDian website announcements, site messages, client push notifications, official account notifications, the email address provided by the member, SMS messages, or regular mail. Such notifications are deemed delivered to the user on the date of sending. Please ensure that the contact information you provided is correct and valid, and promptly log in to DianDian to update it after any changes. If you are unable to receive notifications in a timely manner due to your failure to provide correct contact information or to promptly notify us of new contact information, you will be solely responsible for any losses and legal consequences arising therefrom.

1. The suspension or termination of this service includes the following situations: 1.1 You may voluntarily suspend or terminate your membership, including but not limited to failure to renew your membership upon expiration; 1.2 Due to your breach of contract or violation of regulations, DianDian will voluntarily suspend or terminate the service; 1.3 DianDian may suspend or terminate its services in the event of a requirement by the state or relevant government regulatory authorities or in the event of a force majeure event; 1.4 Other services that should be suspended or terminated according to laws and regulations. 2. After service suspension or termination, DianDian reserves the right, but is not required to, ensure you receive any special notice or notification. If you find yourself unable to log in or enjoy the service, you can contact DianDian customer service. 3. Handling after suspension or termination: 3.1 Except for liabilities stipulated by law, DianDian shall not be liable to you or any third party for the suspension or termination of this service; 3.2 Unless otherwise stipulated by law or this Agreement, fees already received will not be refunded; 3.3 Relevant application information will be retained for a reasonable period of time; other VIP member benefits will be changed or reduced in accordance with website regulations. 3.4 For transactions that are currently in progress on DianDian, DianDian will make a reasonable judgment based on the circumstances as to whether to continue or terminate the relevant transactions, and decide whether to refund or deduct relevant fees as liquidated damages depending on the circumstances. 4. Regarding any changes to this Agreement or rules (including but not limited to amendments to this Agreement, adjustments to service details, and adjustments to membership benefits), DianDian will notify you accordingly. Please read carefully and choose whether to continue using this service in accordance with the adjusted and/or changed Agreement/service details/membership benefits. If you agree to the above adjustments and/or changes, you can proceed with the next step or continue using this service by accepting the service, indicating your acceptance of the above adjustments and/or changes; if you do not agree to the adjustments and/or changes, we suggest you immediately stop using this service. If you have any questions about the above adjustments and/or changes, you can contact customer service.

1. The validity, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any provision of this Agreement is invalid due to conflict with the current laws of the People's Republic of China, the validity of the remaining provisions shall not be affected. 2. If any dispute arises concerning the content or performance of this Agreement, it shall be resolved amicably through negotiation; if the negotiation fails, either party may file a lawsuit in the People's Court at the defendant's domicile.

1. If any provision of this Agreement is deemed void, invalid or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions of this Agreement. 2. The headings in this Agreement are for convenience and readability only and do not affect the meaning or interpretation of any clause in the text.
